Affiliate Programme Terms & Conditions
The terms governing participation in the Gidran Affiliate Programme.
1. Programme operator
The Gidran Affiliate Programme (the “Programme”) is operated by Gidran TIS Limited, a company registered in England and Wales under company number 15228452 (“Gidran”, “we”, “us” or “our”). These terms form the agreement between Gidran and each approved affiliate (“Affiliate”, “you” or “your”).
2. Joining and approval
Applications are subject to review. Submission does not guarantee acceptance. Applicants must provide accurate information, be at least 18 years old if applying as an individual, and have authority to enter this agreement. We may approve, reject, suspend or close an account where reasonably necessary to protect the Programme, customers, Gidran or legal compliance.
3. Independent relationship
You participate as an independent business or individual. Nothing in these terms creates employment, worker status, agency, partnership, franchise or joint venture. You may not make commitments on Gidran's behalf.
4. Affiliate code and referral link
Approved Affiliates receive a unique code and/or referral link. These are personal to the approved Affiliate and must not be altered, transferred, sold or used deceptively. Gidran may replace or deactivate a code or link where reasonably required.
5. Customer discount
Unless your Partner Portal or written agreement states otherwise, an eligible customer using your active referral receives 10% off the eligible Gidran selling fare. Discounts do not stack with another promotion unless Gidran expressly permits it. Where another valid offer has priority under Gidran's booking rules, the customer receives the offer applied by the booking system.
6. Affiliate commission and Gidran Profit
Unless your Partner Portal or written agreement states otherwise, your commission is 10% of Gidran Profit for each eligible completed journey attributed to you. “Gidran Profit” means the amount retained by Gidran from that eligible journey after the driver's journey payout and after pass-through charges, refunds, chargebacks, credits or other journey-specific adjustments recorded by Gidran. Gidran's booking, payment and payout records are the source of truth for the calculation.
7. Attribution
The standard referral attribution period is 30 days, unless different terms are shown for your account. Attribution may be established by a valid referral link, first-party referral technology and/or a valid Affiliate code used during booking. Attribution is not guaranteed where tracking is unavailable, blocked, deleted or where another offer or referral legitimately takes priority.
8. Eligible journeys
Commission is not earned merely because a booking is created or paid. The journey must be completed, validly attributed and remain eligible after operational and payment reconciliation. Cancelled, rejected, refunded, charged-back, fraudulent, duplicate, test or otherwise reversed bookings do not generate payable commission. Any provisional commission may be corrected or reversed.
9. Self-referrals and abuse
Unless Gidran gives prior written permission, you must not use your own Affiliate code or link to obtain a discount or commission on journeys booked for yourself, your household or through accounts you control. Artificial clicks, cookie stuffing, fabricated bookings, misleading redirects, duplicate accounts or other manipulation are prohibited. We may withhold affected commission while investigating suspected abuse.
10. Commission status and payouts
Commission may appear as pending until the journey is completed and reconciled. Eligible commission then becomes payable. Payouts are normally processed monthly and may be subject to the minimum payout balance shown in the Partner Portal or Programme settings. We may reasonably delay a payout while a refund, chargeback, fraud or account review is unresolved.
11. Tax, invoices and records
You are responsible for your own tax, VAT, registration, reporting and invoicing obligations arising from Affiliate income. You must provide accurate payment and tax information reasonably requested by Gidran. If Gidran introduces a lawful self-billing arrangement, separate self-billing terms will apply.
12. Advertising disclosure
Affiliate promotions must be obviously identifiable as advertising where required. You must comply with the CAP Code, ASA guidance, consumer-protection law, applicable platform rules and our Affiliate Advertising Guidelines. A referral code or link must never be presented in a way that hides the commercial relationship.
13. Prohibited promotion
You must not make false or unsubstantiated claims; impersonate Gidran; represent yourself as an employee or authorised booking agent unless separately appointed; send unlawful unsolicited marketing; use deceptive pop-ups or redirects; register confusingly similar domains or social accounts; publish fake reviews; or bid on Gidran brand/trademark search terms in paid advertising without prior written approval.
14. Brand and intellectual property
Gidran grants a limited, revocable, non-exclusive and non-transferable permission to use approved Gidran names, logos and creative materials solely to promote the Programme. You must follow supplied brand guidance and stop using Gidran materials when your participation ends. All intellectual-property rights remain with their respective owners.
15. Customer relationship and data
Passenger bookings are contracts handled under Gidran's applicable passenger terms and privacy information. Affiliates do not receive passenger names, email addresses or telephone numbers through the Partner Portal. You must not attempt to obtain or use passenger personal data from Gidran except where separately authorised and lawful.
16. Confidentiality
Non-public commercial, operational, security, customer or pricing information supplied by Gidran must be kept confidential and used only for the Programme, except where disclosure is required by law.
17. Suspension and termination
Either party may end participation. Gidran may suspend or terminate immediately for fraud, misuse, misleading advertising, material breach, legal or reputational risk, or abuse of customers or the Programme. Properly earned commission accrued before termination remains subject to final reconciliation, reversals and these terms.
18. Changes to the Programme
We may change Programme features, discount rates, commission rates, attribution periods, payout arrangements or these terms prospectively. Material changes will be communicated or published through the Programme/Partner Portal where reasonably practicable. Continuing to participate after an effective change constitutes acceptance of the updated terms.
19. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, Gidran is not responsible for indirect or consequential loss, loss caused by third-party platforms, or commission that cannot reasonably be attributed because tracking was blocked or unavailable. Nothing here guarantees a minimum number of referrals, bookings or earnings.
20. Governing law
These terms and the Programme are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory rights that applicable law gives an individual.
